Recent International Corporate Matters

Represents a US-German based biotechnology company with licensing, distribution issues in Europe and the United States. Counsels same client on corporate governance, manufacturing, registration, and other corporate matters in Europe and the United States. Successfully negotiated purchase, license and supply agreement with European manufacturer of complex medical devices. Recently completed complex distribution agreements in Israel, Turkey, Brazil, Iran, Sri Lanka and agent agreements in Italy, France and the middle east.

Represents publicly listed US-Peruvian based Biofuels Company as in house general counsel with matters relating to equity and debt financings, securities filings, corporate governance and licensing issues, investment strategies, local legal matters and supervision of local counsel and management of other relevant business relationships. Recently served as lead counsel on a $46 million dollar debt financing with a large Peruvian bank.

Served as lead counsel in a multi-million dollar to a US Peruvian based ethanol manufacturer for a recent equity investment from multiple international investors.

Lead counsel to a Venezuelan based home security company to structure its licensing and software relationship with its European based licensor for the rights to the entire Latin American market.

Advises public oil company from Bogota, Colombia on U.S. corporate and regulatory matters.

Advises world’s largest cellular telephone association with issues related to its expansion into Latin America and Europe, including structuring unique pan-regional projects which involve high level support and contact with the largest carriers in the region.

Advises a large Peruvian hotel group on international legal matters including contract analysis and dispute with US based providers.

Assistance in the representation of one of the U.S. largest energy companies in its acquisition of real estate interests for the development of Mexico’s largest renewable energy project.

Participated in complex real estate transactions in Mexico that include the representation of the world’s largest home improvement retailer in its leases and purchases for new locations in Mexico, as well as the development of condominium projects and their financing in Mexican beach towns.
Assistance in the representation of U.S. lenders, including major financial institutions, in the financing and secured lending with real estate and other movable assets as collateral located in Mexico.
Coordinated periodic and transaction-specific compliance before the securities, banking and antitrust Mexican authorities for financial institutions, including reporting and anti-money laundering obligations.
Participated in structuring and negotiation, and coordinated due-diligence, of real estate transactions for commercial, residential and tourism-related purposes in Mexico, including condominium development projects in Mexico for second home US buyers and the purchase of units by US parties from such type of developments.
Representation of multi-national companies in contractual and regulatory aspects of their business operations throughout Latin America, including specific projects in Mexico, Guatemala, El Salvador and Argentina, involving preparation of legal documentation for independent contractors, sales representatives, establishment of subsidiary entities, distributors, and joint ventures.

Represents a venture funded software company providing telecom enterprise solutions to Fortune 500 companies in all licensing and managed services contracts and other relevant business relationships, including counseling and due diligence on matters related to a recent acquisition of a wireless service provider. Lead counsel on over one hundred software and managed services contract negotiations in the United States, Europe and Latin America.

Lead counsel on an acquisition of a privately held education and conference firm by a large publicly traded company.

Represents a leading re-seller of wireless services in all corporate and transactional operations.

Represents one of the leading companies that provide public relations services to large companies interested in accessing the Hispanic market in all corporate operations.

Served as lead counsel to a large internet subsidiary of a major public media company in its corporate governance matters, including the take over of the subsidiary by the majority shareholder.

Represents venture funded services company providing security technology to the U.S. government and other entities with its corporate transactions and government contracting matters.

Served as lead counsel on behalf of a large telemedicine company in a cross border manufacturing and intellectual property dispute with multi-billion dollar pharmaceutical company which was successfully settled pre-trial.

Obtained judgment for U.S. company in federal court against foreign government embassy for breach of leasing agreement.

Counseled Argentine winery on claims against U.S. distributor for breach of distribution agreement.

Successfully brought lawsuit on behalf wealthy European individual against large U.S.-based cruise line in contract dispute.

Represented and negotiated settlement of Washington, D.C.-based international tour operator in lawsuit in Federal Court in New York against software developer for breach of software development agreement.

Represented Panamanian based software developer in breach of contract case in Puerto Rico.
